As a special form of business organization,family business plays a very important role in the development of economy.Throughout the history of business development,we can find that there have been some family businesses in history that will have a certain impact on the economic development of a certain country and even the whole world,but today there are still some strong family businesses in various countries.But some family businesses have been expanding,while others have gone downhill.The reason why the family business will decline,on the one hand,has the role of external reasons,on the other hand,also has the role of internal reasons,and the greatest impact lies in the role of internal reasons..As far as the development of family businesses in China is concerned,many declining or even dying family businesses are difficult to develop on the basis of the existence of internal problems.And the reason why there is such a problem is the internal governance and management of family enterprises and other problems.All along,there has always been a problem of ownership and management rights in family businesses,so most family businesses will inevitably have internal problems in the course of their development.This situation is very unfavorable to the development of family business,so it is necessary to strengthen the related research.This paper takes the z kung fu company as an example,based on the perspective of corporate governance,uses the literature research method and the case analysis method to discuss the development path after the infighting of the company.In the course of the study,it was found that the internal fighting of z kung fu company had a very adverse effect on its development,and this was mainly reflected in the internal management of the company after the internal struggle There are serious problems,the cohesion of the family business itself is gradually losing,the remaining heat of factional struggle among the family still exists,and the main reason for these problems is that the introduction mechanism of the family members is not perfect enough.The corporate governance structure and the check and balance mechanism are not perfect,the family relationship lacks the effective restriction and so on,but to solve these problems after the internal struggle of the company,it is necessary to establish the family member exit mechanism.It is only by perfecting the balance mechanism of the family business company and strengthening the contractual governanceembedded in the family relationship that the company can solve the problems related to the corporate governance first after the infighting.Only after the problem of corporate governance has been solved can we do other work well.The purpose of this paper is to provide reference for the development of family enterprises in China.
