The objective of the work is to focus on the issue of building corporate governance architecture in a family business. The research presents the history of the Giamminola Group in a theoretical frame provided by the common characteristics and the shared experiences of the medium-sized Italian firms. Therefore, through primary sources such as internal documents of the Group and a face-to-face interview with the CEO, the work analyzes step by step the 5-year roadmap that led to the current corporate Governance architecture. The analyses of the results of this process are made by juxtaposition with the findings of a paper by Bammens et al., and the actual situation of the Board of Directors of the Giamminola Group. The said paper studies the composition of Board of Directors of family firms according to a generational perspective and its findings are in partial contrast with the case of Giamminola. The explanations of such discrepancies are presented, in this work, as the conclusion of the overall analytical evolution process of Giamminola’s corporate governance.
