Villages are a unique phenomenon in the process of industrialization and urban development under the dual system in our country producing. With rapid economic growth,the Village has become a major problem which is imminent transformation of villages in the development of urbanization in most areas. However, the project has a series of features which are large investment, long transformation period and difficult. Besides, high technology and the financial requirements of management are necessary and the traditional funded by the government transform the less than ideal which leads that our country can not urbanization successfully. Based on this, a new type of transformation model is particularly important and urgent.PPP model has been in the construction of public facilities in the West and there are many successful stories which shows a strong advantage. It combines the advantage of the government and the private developer, not only reducing the financial pressure on the government to improve the efficiency of the entire renovation project, but also making the private developer to obtain a stable income, which are widely used in public infrastructure sector for our country city reconstruction project and providing a place worth learning.In this paper, we know the construction of the current situation and the problems of certain summary analyzes the necessity of introducing the PPP model city reconstruction project and feasibility by reading a lot of literature on the basis of our villages(choose Xi’an as the representative) of the policy to provide a theoretical basis. To make the Villages transform smooth, we need to identify the risk characteristics of the transformation firstly. It is necessary to determine the weight of the total target weight value in order to calculate the overall risk of the entire project. According to the weights determined by the weight value, we can bear the main project risks.During the process of risk assessment we need to identify the main risk factors for city reconstruction process firstly by using WBS-RBS risk identification method. We can analyze the multidimensional attribute characteristics of the project and obtain the risk of the individual factors by creating multi-dimensional function. We can evaluate the risk of the transformation process according to the four-dimensional attributes.Additionally, this article eliminates the need for consistency checking by improving the traditional AHP. According to the risk results under PPP mode based city reconstruction project we can create benefit allocation model based on risk sharing by using risk-sharing utility theory obtain the final Nash equilibrium namely the best distribution scheme. Finally by using empirical analysis, knowing that the method has some practical significance for risk identification and providing a reference of distribution of benefits under the PPP model city reconstruction project.
