From the view of the development process of private enterprise groups, mostly experienced "from small to large, from single to multiple" such a development path.When the enterprise development to a certain size, increasing the number of firms,management level increase, management radius increase, but the increase in income declining profits, enterprise development speed slow situation. According to the above situation, select the appropriate control mode is particularly important for enterprises.For Group headquarters, it is a problem must considered for enterprise group managers that how to manage the members of subordinate enterprises effectively, strengthen synergies among group subsidiaries and enhance the level of performance of the group.The content of Group control includes five parts: corporate governance structure,organizational structure, responsibility system, monitoring and performance evaluation and incentive mechanism. This paper takies H Group as a specific object of study,analyzed the problem in its internal control mode, including corporate governance structure not fully functional, the lack of flexible organizational structure, unequal rights and responsibilities on the decision-making mechanism, monitoring functions play a limited and performance appraisal and motivation not perfect. To solve these problems, the author put forward from the direction, the implementation platform and meansmanagement to optimize internal control system, Control the direction was requireed combination of business and features, this mode can be the only one of financial management and control model, strategic management and control model and operational control of one type, but also the mixed in three modes; management and control platform was clearing the governance structure Group,headquarters location and organizational structure; control means need to considered the control mechanism,division the responsibilities and control processes, performance and incentives ect. To ensure the smooth implementation of these control modes, the Group need to provide protection from strategic, information and culture.The author hopes this study can enrich the theoretical research system Enterprise Group internal control mode, help H Group managers clear the problems in management and control model, bring its attention on optimizing internal management and control model problem, improve the internal management and control, and better achieve the Group’s strategic objectives. At the same time, the authors also hope that can give some reference and inspiration for managers who faced the same internal management problems.
