Since many European and US multinational corporations entering China market, competition in the domestic market of increasingly heated。Face formidable competitor, a number of well-known domestic enterprises will start sights abroad, trying to explore the international market.. In direct foreign investment, many companies choose a mergers and acquisitions, some mature companies in Europe and America to become the preferred. However, the survey shows70per cent of mergers and acquisitions did not achieve the desired business value, after70comes from the failure of merger and acquisition integration。 While the success of the integration work and cultural differences have a great relationship. For this reason, many scholars conducted a study on multiple levels of culture。However, as an important part of corporate culture, cultural aspects are rarely system study of the system.Rise to the cultural level of the system culture system, through a series of rules and regulations reflect the values of enterprises, and deepening them through the form of reward and punishment, make their into the employee’s daily behavior, into employees’ ideas, culture is the spirit that is system recognition on the external carrier of culture and employee behavior。So enterprise in the construction system culture must be considered when the enterprise culture is different from the implementation of the foreign acquisition enterprise that, the construction of institutional culture could be more complicated. Based on China’s overseas merger more subjects for Europe and the United States mature enterprise this phenomenon, this article, therefore, chose the two typical cases-TCL m&a alcatel case and lenovo’s acquisition of the IBM PC business case. First, this article on institutional culture and theory of the acquisition and integration, then from the perspective of institutional culture construction of enterprise acquisition and integration of models and put forward several propositions, and then through a case study on model for match analysis。Through analysis shows that the domestic management mode and impose rules and regulations are not conducive to the acquisition and integration of enterprise merger and acquisition。Finally, this article proceeding from the system, for overseas Chinese enterprises merger and acquisition integration has made a number of recommendations.
