Although Chinese new media industry is one of the most promising emerging industries, compared with foreign new media industry, Chinese technology is not mature, the content quality is low, infrastructure is lacking, industrial structure is not balanced, government behavior is not standardized, it is difficult to obtain a wide range of user identification and support. Therefore, in order to achieve the prosperity and development of Chinese new media industry, the development model of Chinese new media industry needs to be seriously thought.In this paper, based on the theory of new media industry merger and acquisition, the feasibility of applying the cross industry merger and reorganization mode to the development of Chinese new media industry as a research purpose, first, through the comparative analysis of American and Chinese new media industry development situation, to find out the limitations of Chinese new media industry development, then, the experience of industrial chain integration of typical enterprises in the two countries is compared and analyzed by case analysis and financial analysis, and through the selection of vertical merger and acquisition in 2013, by using the linear regression analysis, the data of the year before and after the merger and reorganization of the sample firms are analyzed, and the results show that the cross industry vertical merger and reorganization mode can effectively improve the performance of the company. Finally, the similarities and difference of the two new media enterprises merger and acquisition are analyzed, and the practical guiding significance of the vertical merger and reorganization mode is strengthened.The conclusion of this paper is that the new media industry in China has a lot of advantages, but it is still in the exploratory stage, which can be further developed by drawing lessons from the AOL. In this regard, we can improve the competitiveness of Chinese new media industry through other means, including open government behavior regulation. Based on the market, establish industry management model, strengthen the technological innovation of the new media industry and the cultivation of high quality talents, innovate industry capital operation mode and strengthen the restructuring after the integration.
