In an increasingly competitive market economy environment,many companies will choose mergers and acquisitions to enhance market competitiveness and seek long-term development of the company in the future.In today's business world,M&A activity is increasing,and the scale and amount of M&A are also rising.Mergers and acquisitions can not only achieve effective integration of resources,but also promote the optimization and upgrading of industrial structure and improve enterprise efficiency.Therefore,the level of M&A premium will affect the success of M&A activities.Excessive premium levels often involve risks.In recent years,in order to enhance the national cultural soft power,China has increased its support for cultural enterprises,launched a series of favorable policies,and more and more M&A activities in the cultural media industry.Correspondingly,the high valuation and high premium of M&A in the industry have naturally received wide attention from all walks of life.This thesis uses the case analysis method to select the case of Chinese media merger and acquisition of Elex.First of all,the relevant theoretical concepts of mergers and acquisitions,the types of mergers and acquisitions,and the specific mergers and acquisitions of this merger are explained.Secondly,it introduces the development of China's cultural media industry,and summarizes the background,development process,business status and development strategy of the main Chinese media and the target company.Then,from the evaluation methods of asset evaluation,the evaluation results,the different effects of synergy,and the performance of Elex before the merger,analysis the motivation and reasons for premium mergers and acquisitions.Thirdly,the short-term market reaction of Chinese media mergers and acquisitions and the long-term corporate performance growth of Chinese media were analyzed from the perspectives of event research and synergy.This part of the study is also the most important in this paper.Finally,through the study of M&A of case companies,suggestions and conclusions for reference are proposed.Through analysis,it is found that the Chinese media has exerted certain positive effects through the merger in the short-term stock market performance or the long-term development of three to five years after the merger.Through this acquisition,Chinese Media not only optimized and upgraded the industrial structure,but also improved the proportion of new media and new business,and achieved the development strategy of “Internet +”.The final conclusion is that cultural media enterprises must actively seize the development opportunities,select the suitable M&A targets,and do a good job in mergers and acquisitions to realize talents when their existing businesses are close to saturation and development is hindered.Efficient integration of technology and management is need,in order to achieve long-term development of the enterprise.
