Enterprise annuity system o f China came into being in the 1990 s, in the last 20 years, its basic framework has being formed, its managing and supervising mechanism have also being performed. As the second pillar pension system in China, the enterprise annuity system played a very important and very positive role in constructing a multi-level old-age insurance system, developing capital market and keeping a harmony and stable society.Based on theories related to enterprise annuity, such as economics, organizational behavior and human resource management theoretics, using methods o f comparative law, positive law and case law, the enterprise annuity system o f state-owned enterprises has been investigated from perspective o f corporate governance, suggestion o f combination o f enterprise annuity system o f state-owned enterprises with state-owned enterprise performance appraisal system was put forward, which is o f profound theoretical and practical significance in promoting the enterprise annuity system construction o f state-owned enterprises.According to the current status o f state-owned enterprises, the implementation o f enterprise annuity is meaningful in aspects o f response to the national policy and enhancement o f productivity and marketization o f the state-owned enterprises. The enterprise annuity, as one o f the deferred wages o f enterprises, combined with enterprise development strategy and reflected in the personal performance evaluation, can fully exert its incentive and constraint effects, perfecting enterprise governance structure.In this paper, we found problems o f low efficiency o f operation, less enthusiasm o f participation and limited roles for encouragement and restriction in Chinafs enterprise annuity construction. Aiming at these problems, we suggested an overall thinking and a systematic goal o f implementing enterprise annuity system in state-owned enterprises, actualizing annuity system in stages, including, a) raising stuff participating rate, b) exerting its encouraging and restricting effects and, c) meeting personal demands.Concrete measures are as follows: a) establishing evaluation system corresponding to enterprise annuity, b) gradually reducing burden o f enterprises, c) perfecting preferential tax policies, d) raising replacement rate o f enterprise annuity, e) constituting differential enterprise annuity plan, f) piloting a self-service mode o f investment management for enterprise annuity, g) enhancing management level in information and digital building, h)perfecting legal environment and supervising mechanism, etc.
