The status and the function of small and medium-sized hi-tech company in thenational economy and social development is growing. Due to their development periodis shorter, often appear the problems of insufficient of enterprise innovation ability, thebrain drain, unreasonable structure of shares. Based on the principal-agent theory、stakeholder theory and incentive theory Through empirical analysis, this paper studiesthe relationship between management features of small and medium-sized hi-techcompany and performance.The paper combed the high-tech company management in relative literatures,illuminate the basis theoretical in this studies, Define the related concepts, expoundedthe related theory and put forward the idea and research method; theoretical analysis ofthe small and medium-sized hi-tech company’s management features, and comparedwith other types of companies management features; Mainly from the ownershipstructure of the board of directors、characteristics、The paper Select113home samplecompanies, characteristics of the company executives and R&D input to analysis; Theresults of theoretically analyzes showed that the average education level of theemployee, the input strength of R&D had different positive effect on performance;Balance degree of stock equity、Executive pay and shareholding percentage andTechnical personnel investment proportion was positively correlated with performance;In non-state-owned enterprises and natural person holding company, the relationshipbetween term heterogeneity and performance was different, and was respectivelynegative relationship and positive relationship; Other characteristics had no significantrelationship to performance. finally, this article puts forward the countermeasures: toestablish reasonable equity structure、Increase the investment of R&D、Sound talentincentive mechanism.The result of this paper expect to provide practical reference for China’sincreasing development of small and medium-sized hi-tech enterprises, give referenceSuggestions to improve the level of management of small and medium-sized hi-techcompany.
