China has abundant coal resources, and exploit mining area so as to developing into a type of towns of coal resources. During the developing process, focusing only on economic benefits while ignoring the construction of towns has gradually affects the city's economic construction and people's life. In recent years, governments pay great attention to the transformation of squatter settlement, and put it on a important position of the city's construction schedule, but there is no standard transformation model under the market economy, there for many towns meet some problems during the transformation process.The transformation of squatter settlement is the result of the developing of city's economy and the society for optimizing the function of the city, satisfying the people's needs and improving the city's image. The transformation of squatter settlement is not a simple transformation of the old city, it needs to fully consider all aspects such as the benefits of the government, large state-owned coal enterprises, squatters, developers and so on. During the transformation process, it is a complex issue involving the whole society including not only the infrastructure construction but also re-adjust the land.In this paper, the coal resources city as the background, selecting the actual case of the mining area of Handan City Fengfeng, analyses the coming problem and the causes from the squatter settlement itself with the aspects as specific policy, economic and social environmental, exposits the advices of the coal resources city's squatter settlement from the resolving the conflicts of government and business interests and attempting to optimize the right of using of state-owned land.
