In the era of knowledge-driven economy background, to survive in the fierce market competition and development, the enterprises must be based on the knowledge, technology and organizational transformation and innovation. As the knowledge capital carrier --- knowledge workers become main force of the development and innovationof enterprise. How much value of the knowledge workers create, not all depending on their own how much ability and more depending on the degree of their personal efforts. Therefore, how to establish effective incentive systerm of knowledge workers in voluntary their knowledge and skills are very important.With strong independent consciousness and independent characteristics of the flow of values and good wishes on their management, knowledge workers cannot just rely on "economic contracts". The science of organizational behavior " psychological contract " as an informal contracts between the Organization and staff, began to be widespread concern and attention. Compare to the economic contracts, most of the Psychological Contract in fuzziness and implication of features, but it is also affecting the knowledge workers' attitude toward the organization, decisive factors of behavior and work performance. Therefore, from the angle of "psychological contract" to inspire knowledge workers become an important research topic in the field of human resource management and organization behavior.Study on background of this article to State-owned enterprises, starting by "psychological contract" theory and under the guidance of the theory of encouragement, based on the psychological contract establish the incentive system of state-owned enterprise. And with the help of the Survey and Analysis of modern tools, make an empirical study on the content of state-owned enterprise knowledge workers' psychological contract, incentive factor. And according to the results of the analysis put forward the corresponding knowledge worker incentive strategy of state-owned enterprises.
