Industrialization is the key to modernization. The theory of development economics tells us that developing countries maintain some later-developing advantages in the process of catching up with development countries. One of them is to undertake international technology transfer, narrow technological gap and sequentially speed up the process of industrialization.Since 21th century, our country has been through the rise of industrialization; meanwhile, there are still many thorny problems we have to deal with. The essential to conquer these problems is to upgrade industrial structure and build up national technology system. The successful experience of many newly industrializing countries gives us the inspiration that making full use of technology transfer, assimilating advanced technologies and improving them is a shortcut to surpass. Especially, in recent years, our country witnessed the intensification of FDI. Therefore, the research has not only theoretical meaning, but practical value. This paper firstly analyses on the present situation of China's industrialization and undertaking technology transfer. Secondly, the paper uses statistical method to analyze the degree of technology spillover for local enterprises. Thirdly, the research provides reference of Japan's industrialization process to give us inspiration. Lastly, some countermeasures are synthesized from two aspects of technology import and assimilation.
