Marketing economy, which is a kind of more effective economic form than planned economy configures the resources through the mechanism of pricing and sets the effective mechanism of stimulation and constraint to cause favorable competition among the units, thereby to improve the economy efficiency and the benefits of the economy units. The marketing economy environment pushes the decision-maker of the economy units to improve the efficiency and the achievements of their companies.Under the marketing economy environment, for China public companies, as an inevitable trend, it is very essential to build the modern enterprises system and the essential problem is the stimulation and constraint to the high-level executives. It is of the most importance in the enterprises' construction to stimulate and restrict the high-level executives, to improve the long-term and short-term achievements and to promote the smooth development of enterprises under the arrangement of market.Since the reform and opening policy and as the development of Chinese marketing economy, the stimulation and restriction system to high-level executives has been adjusted for several times to inspire their enthusiasm and creativity. As the salary design is concerned, it developed from the contract-obligation system and asset-management system to annual salary system. While the spiritual reward form concerns a variety of ways, including the approval of contributing spirit of revolution and the executive promotion, appraisement, etc. With the changing of times and the notion of people Theses systems that have been effective, now can not meet the needs of times and can not inspire and restrict the high-level executives. As the result, numerous bad phenomena like the "59 year-old Phenomenon" appear.The achievements of the public companies directly reflect the development trend of Chinese economy. The theoretical and practical researches of the stimulation and restriction mechanism to the high-level executives show that the mechanism still can not meet the needs of the public and never effectively stimulate and restrict the high-level executives.On the basis of the theoretical research and positive study of the stimulation and restriction state to high-level executives, the thesis provides a comprehensive prompting scheme and brings forward some countermeasures. Hopefully it can bring positive effect to the construction of effective mechanism of stimulation and restriction to high-level executives and can make up its disadvantages and limitations.
