In recent years, cross-border mergers and acquisitions as an important way of international investment, has been favored by Chinese companies. With the rapid development of China’s economy, more and more Chinese enterprises, began to look at the international market, and achieved some success. However, compared with the western developed countries, China’s cross-border M & A starts late, is still in the initial stage, the lack of comprehensive, deep and systematic understanding of cross-border mergers and acquisitions. Therefore, it is very important to further study the process of cross-border M & A, and combine with the practice of Chinese enterprises overseas M & A, and analyze the problems in Chinese enterprises overseas mergers and acquisitions.In this article, new-material&Times merging BOGE is used as an example, the research status of financial statement analysis and enterprise value assessment is integrated into the research situation. The qualitative and quantitative analysis, theoretical and empirical, relative value and absolute value are combined. In detail, combined with the current situation of automobile shock absorber production industry analysis of the financial statements of the past five years XC company, and the use of DuPont analysis and sensitivity analysis of key indicators of the company’s comprehensive analysis and comparison, focusing on mergers and acquisitions to study the value of the company’s valuation, and the continued existence of the company’s stock price movements after 5 years to make a forecast. The results show that the new material in the new era of the new-material&Times has the potential to realize the potential of the global automobile vibration reduction, and the internationalization of the new material business of the times.
