At present stage, the real estate project financing loan is one of the most common way to financing. Its level of risk management direct impact the commercial bank's prestige and fundamental interests. In this paper, by studying the basic risk management theory, citing the credit risk grading system, study the real estate project financing, and identify and assess the risk of credit asset in commercial bank.From the practice and the theory research, there is a big gap beteewn China's commercial banks'risk management and overseas, the legal system construction and risk management methods are waiting for the further enhancement. The overseas'advanced fundamental research and the rich experience are worth learning from. On the other hand, credit risk related to the level of commercial bank management capacity and sustained development ability, so the risk management enthusiasm is high. Under such background, this paper will combine the present situation and the actual case to start to explore our country suitable commercial bank credit asset management ways and means for achieving the purpose of guidance.This article from the basic theory of the real estate loans and the reason of credit risk embarks, analyse the procession of real estate loan risk management and analyzed the main problem of loan. Combinating of credit risk processes, using of risk management target system theory and appling them to real commercial bank loans'risk management, through the establishment risk indicator system, definited the target size and the credit rating, by using the formula, determined the risk of the loan size, and finally explored the risk counter measures.
