Since 80's in last century, the stock ownership incentive has already been applied proverbially in the listed companies of our country, and obtained certain results. However, it was used rarely in most non-listed companies. On one hand, the environment of actualizing stock ownership incentive is incomplete; on the other, the owners of non-listed companies are uncertain of the effects of the ownership of a share encourages. Currently, most private enterprises particularly the non-listed private enterprises are in two minds about choosing stock ownership incentive while they are facing the choke point of human capital. For alleviating the worry in uncertainty of non-listed company, increasing their knowledge about the ownership of a share encourages, and offering some reference points of using the ownership of a share encourages, this essay will use the MWS type private enterprise which is non-listed and has a special administrant structure as the investigative object. Then carry on a thorough research on the designing of stock ownership incentive on the foundation of the certain theories and combining domestic and international fulfillment experience:Firstly, through analyzing the results of the the stock ownership incentive both in home and abroad ,the author summed up the factors which affect the process of carrying out stock ownership incentive. Then on the basis of these factors, the author analyzed the MWS type private enterprise which is non-listed by SWOT pattern, and reached a tactful of putting stock ownership incentive into practice in the MWS type private enterprise which is non-listed. Secondly, the author studied how to design the mechanism of stock ownership incentive which will put into effect in the MWS type private enterprise, according to the above factors. On the basis of analyzing common patterns of shareholding incentives both home and aboard, choose the suitable phantom patterns for the"M"and"W"by keeping in mind the special characteristics of the MWS type private enterprise which is non-listed. And then the author reached a project approach about the essential factors of shareholding incentives.Thirdly, the author analyzed the effects of the stock ownership incentive in an enterprise which was used as a case, by empirical analysis. Thus the author further proved that the presupposition of this article: Shareholding incentives is effective in the MWS type private enterprise which is non-listed too.Finally, the author made a summary of this article on the basis of the above analysis, and put forward some suggestions for reference only.
