Recent years, the strategy of vigorously develop the high-tech industry in China is increasingly clear. Compared to foreign State-owned enterprises, the Chinese SOE companies always showed weakness of competitiveness and management capacity.The IC industry has already been developed more than half century. The IC industry has been the core branch of the high-tech industry all over the world. It has the strategic significance of information development and comprehensive national strength improvement. Shanghai has become the only world-class microelectronics industry base in China. And, Shanghai has integrity industry chain and good development prospectus.I am working in a IC design company——HL company. It is also a shanghai SOE company. The company was born in 1995 and approved by Shanghai government. It is one of the earliest IC design company in China, and done the business of IC and system design. The company was awarded as Shanghai high-tech company, Shanghai technical center, Shanghai IC design company and postdoctoral workstation.HL company try the best to development IC industry, according to the request of the IC industry development of the government, always persist independent research and development. It focused on designing the highest technical IC product, developed and carried forward the Chinese IC core. HL company has already done some state important programs and 863 programs, and been praised. The company has many independent intellectual property rights, and relies on the state programs to set up a IC design development environment.Along with the high speed development of market economy in China, and the progress of taking part in WTO, the international capital influx in China, so the Competition in IC industry has become more and more fierce. The HL Company exposed many problems, such as the loophole of cash. The papers try to analysis the status to propose the restructuring strategy, hope to provide reference to the small high-tech company's restructuring strategy.The first chapter mainly introduced the company's situation, research background and methods. The second chapter mainly analyzed the external environment of the restructuring strategy, such as the political environment, economical environment, social environment and technical environment. According the research, HL Company is poor at the competitiveness but the IC industry has bright prospects.The third phase introduced and analyzed the internal environment of the restructuring strategy, mainly analysis the resources, finance capacity, R&D capacity, marketing capacity, program implementation capacity, and competitiveness of products. According to the analysis, the paper draw out the R&D capacity of the company is strong, but the management capacity and marketing capacity is weak.The forth phase analyzed the competition situation in IC industry, introduced the prospect and plan of the development of Shanghai IC industry, and forecasted the future development situation.The fifth phase used the SWOT tools to analysis the company restructuring strategy, mainly analysis the restructuring target, planning, steps and risk factors. The sixth phase mainly focused on the operation strategy and functional strategies, such as organization design, finance planning, human resources, product line plan and marketing plan.
