Economists have been studying the question about management excitation for a long time, since the thirties of the 20th century, that the economist of U.S.A. Berle and Means put forward the mode to separate ownership from control right for the first time , up to late seventies, a series theoretical system such as contract theory and entrusting agency theory, etc had carried out in-depth exploratory analysis and studies to the question about management excitation from different points of view. During the uninterrupted perfection of socialist market economy system, it is very important to perfect the modem enterprise system with company system as main organization form, and perfecting management excitation mechanism and perfecting company management structure are its core content.The article started from analyzing the question about the origin of management excitation, summarily introduced and analyzed the series excitation theories of content type, process type, action transformation type and integrative type, etc, after that, discussed the necessity to establish management excitation mechanism in the enterprises of our country. Although the company system enterprises have been basically established in our country by the efforts of more than ten years, whereas quite a lot system-changed or reorganized company-system enterprises have not formed effective company governing, neither really made the organization efficiency to be improved. The sticking point of the problem is that the excitation problem of enterprise management has not been really resolved yet, it is urgently needed to establish effective enterprise management excitation mechanism. Next, the article introduced in detail some main modes of establishing management excitation mechanism in our country by large space, the main management excitation types include annual salary system, Compensatory Stock Options, Economic Value Added, Management Buy-Out, Golden Parachute, Life Insurance and spirit excitation, etc, and aiming at the annual salary system and management Compensatory Stock Options mode most widely used in the enterprises of our country, provided examples for reference. The establishment of the enterprise management excitation system of our country started from making experiments in annual salary system, during popularizing annual salary system, the Compensatory Stock Options system was introduced step by step, and Compensatory Stock Options mode was also the main mode to carry out long-term excitation presently in the enterprises of our country.The article systematically discussed the question about establishing enterprise management excitation mechanism, analyzed in-depth the development background and theoretical root of the question, introduced the status and the absence of company governing structure in present popularizing modern enterprise system in our country, discussed the necessity to establish enterprise excitation mechanism of our country and the principle and basic train of thought of establishing management excitation mechanism in our country. The article closely combined the demonstrative study of corresponding theories with the enterprise management excitation status of our country, analyzed in-depth various modes of establishing management excitation mechanism, provided a set of effective operation method of establishing enterprise interior management excitation mechanism.
