Today, family enterprise is one of the main and most prevalent enterprise style. It is said that eighty percent of all enterprises is family enterprise. The family enterprise holds some famous brand such as Ford, Pierre Cardin. Thanks to the reforming and opening policy,Through more than twenty years' development, Chinese Family Business became important component of Chinese economy. That Chinese family corporation face the third boom now, to employ manpower capital effectively not only affects expansion, but also operation. These years, person with ability become eye on family capital. Compared with other corporation, family company may provide more broad stage. So, build up manpower capital incentive mechanism can connect manpower with Family Business.Now while much attention has focused on professional manager incentive mechanism in state-owned-enterprise, there is little attention on family business. In view of this, the paper is based on Principal—Agency theory, presents an in-depth analysis of professional manager incentive mechanism and family business by combining theoretical analysis with empiric analysis. This article makes complete and systematic study on motivation theory. Detailed analysis has been done on content and process motivation theory. Not only combines with the actual situation of manage work in China to analyze the status quo and characters and questions, but also provides enlightening viewpoints and methods on incentive mechanism to fit in with the family business reality of the professional manager incentive mechanism.This thesis is divided into four chapters. In the first chapter, firstly introduced family firm's concept and the characteristic, have analyzed the necessity of the introduction professional manager for our family business. The second chapter introduces the professional manager's present situation in Chinese family business, using two cases to analyze. In the third chapter, systematically has studied the related theory first, then the union demand principle has analyzed our country professional manager's demand, and according to the demand, divides the incentive mechanism into external incentive and intrinsic incentive.
