With the acquisition of domestic enterprises by foreign multinational companies surging, cross-border mergers and acquisitions of domestic enterprises in China's enterprises have become the main form of internationalization, the internationalization of domestic enterprises is a shortcut. In the 21st century, with the global tide of the sixth acquisition, especially in recent years, China as a global engine of economic growth, economic strength and development level of rapid growth, has become the world's notable M & A market, more and more Chinese enterprises to participate in the tide of cross-border mergers and acquisitions. The practice of human resource management for the new issues raised, namely, the human resources in cross-border M & A integration issues. This article summarizes the research on domestic and cross-border M & M theory and the theory of human resource integration, based on the most critical to seize the merger integration of the subject of human resources, through the integration of domestic enterprises, foreign multinationals A Case Study B analyzed in the process of cross-border merger and acquisition integration problems faced by human resources, discusses M & A in the management of human resources to take the content and the appropriate integration of human resources strategy.This paper reviews the motivation for M & A integration of theory and the theory of human resources. In the cross-border M & A theory of motivation, this paper focuses on comparing the efficiency of representative cooperative motivation theory, agency cost theory of motivation, motivation portfolio theory, market forces theory, free cash flow hypothesis in five different theories of motivation, the case for the followingtheoretical basis for research. In the empirical study, this paper surveys and case studies using a combination of methods to foreign multinational M & A domestic company B as the research object of the cross-border mergers and acquisitions in the face of major human resources integration, including one of the following areas:(1) The individual level the problem is caused by the acquisition of employee satisfaction decreased, which led to the organization and employee loyalty, reduced.(2) Team-level issues, mainly into two categories:First, M & M Enterprises in the Central Plains are some aspects of executive turnover; Second, M & A process the role of middle managers ambiguity. (3) The organizational level issues. Mainly for the corporate culture of conflict. M & A is a radical change, is the stability of a damaged tissue, especially cross-border mergers and acquisitions, inevitably to be undermine the organizations, especially the enterprise to the cultural system.To solve the above problems, this paper based on research findings relevant literature is presented to solve the domestic M & A foreign multinational companies in the process B integration of human resources measures, including three conclusions.(1) Studied the integration of human resources in mergers and acquisitions, including integration of corporate vision and cultural values, integration of human resource allocation model, integrated performance management system, integrated system of four Pay-management aspects.(2) The integration of human resources in mergers and acquisitions should adhere to the principles, including the strategic principle of consistency, people-oriented principle, the principle of smooth transition, revenue-cost principle, the principle and the Psychological Contract contingency principle a total of six principles.(3) Of this paper, human resource integration in M & A specific strategies, including the election and to keep people strategy-the stability of human resources strategy, Education Strategy-training of human resources policy, employment strategy human resources, incentive strategies three areas.On the basis of theoretical and empirical research, this paper draws some useful conclusions for cross-enterprise integration and human resources to draw on research strategies and reference.
