Currently,technology and market changes rabidly which means it is difficult for a single company or university to achieve innovation successfully and the only way to innovation is whether the organization can learn effectively and make good use of outréresources.Industry-University cooperation meets the new requirement about the innovation capabilities and becomes one of best means for countries to achieve inno-vation.With the global economieintegration and institutional change in our coutry, the formal system in our coutry had been missing,the traditional moral values had been weaked and the information in our coutry also had been asymmetric.The missing sys-tem lead to the information asymmetric more and more serious in our"Tndustry-Uni- versity-Institute"Cooperation.Then,the information asymmetric increase the informa-tion acquire difficulty between firm,University and Institute ,while, .The missing sys-tem and traditional moral values lead to morally binding more and more weaking.
