China's enterprises often use Cross-border M & A to optimize the allocation of resources, enhance their management level, expand the international market and complete own industrial upgrade; however, the high failure rate of cross-border M &A also shows that there is enormous risks. The key of success is integration of M & A. Human resources integration is the core to maintain the stability of the organization, and build core enterprises competitiveness. Data showed that china enterprises non-financial investment overseas sustained rapid growth, and mostly through merger. Corporate mergers practices require systems analysis and research on China's transnational mergers.This paper combine theory and practical method , from the perspective of cross-border M &A problem faced by cross-border mergers, integrate with case of Chinese enterprises transnational mergers , focus on the the integration of human resource countermeasures. Because cross-border mergers have failure risk, it's necessary to analyze their own culture, human resources features before decision-making, analyze and judge whether the company's human resources mechanisms are conflicted and the impact of the confliction, which determine whether target is suitable. This paper system analyze the entire process of human resources integration, which including the preparation of organization establishment and integration program and so on, integration planning of merger preparation is important for the success insurance of the merger. In the process of implementing the merger, crisis management, retaining the core human resources, organizational mechanisms and cultural integration are the core of the whole merger, the result directly influence whether mergers will be success. M & A integration emphasized not only the rapid integration in preparation stage, but also stressed that the integration process is a long-term process, it need to balance the good chance grasping and program progress. Base on the time sequence, from three dimensions which include human resources, culture and organizational mechanisms integration, the author built a human resources integration countermeasures of Chinese enterprises cross-border mergers, then analyze typical cases of the human resources integration of Chinese enterprises transnational mergers, as a result, this paper provide a view on human resources practice integration.
