In the business management practice, how to motivate the management to work actively is a common problem faced by human resources management in all enterprises. Although different enterprise has different organizational cultures and organizational structure which lead to different phenomena and different influence, problems and conflicts keep coming up on this aspect in the real practice including old problems existed for a long time and new problems due to the new environment. It has been especially troubled the private enterprises. The incentive mechanism of top management plays a key role in the existence and development of enterprises. Hunan Xinyuan Investment Group., Ltd is at the crossroads of development. Its old incentive mechanism has resulted in many problems instead of speed the development. In order to develop greatly and fulfill the strategy effectively, a new incentive mechanism must be established.This thesis aims at studying on the top management's incentive mechanism of Hunan Xinyuan Investment Group., Ltd with the primary data collected through surveys. It analyses the current situation of the top management's incentive mechanism of Hunan Xinyuan Investment Group., Ltd and finds out the main problems on materially incentive pattern based on income and benefits and the non-materially incentive pattern on work design, career development and organizational culture. Then referred to the latest domestic and international theoretical outcomes, the thesis suggests a new idea to establish the new incentive mechanism to solve the problems.The new incentive mechanism designed is composed of performance-oriented income incentive mechanism, top management's share holding, organization reform, duty design, human resource increment, organizational culture establishment. Among them, the performance-oriented income incentive mechanism, and so on from salary payment incentive mechanism top management's share holding are the core. In the study on income incentive, it designs the key performance indicators based on the current situation of the company. It's a new incentive policy to let the top management hold the virtual shares of the company.Finally, according to the real practice of the company, the thesis points out guaranteed measures and implement steps to carry out the new incentive mechanism. At the same time, it also suggests the solution to the possible problems during the implementing of new incentive mechanism.
