The Reform Of Organizational Structure Prepared For Going Public

Nanning Phoenix Paper Limited Company is preparing to go public. In order to adapt the rapid development in the future, this thesis studies on the corporate governance structure, then redesign and optimizes the company's organization structure. The paper mainly adopts case analysis method to analyze corporate governance structure and to divide the boundary of operation rights and governance rights. So it can develop a pattern of modern enterprises which the responsibility and right is explicit and property right is clear. In the part of organization structure design, we use the method of process in organizational structure design. We analyze the company's value chain; find out key and core process and assistant process. According to the relation of processe_s, we establish relevant departments and design every department's responsibility. The following parts are the paper's logic structure.First of all, the thesis discusses the corporate governance structure and organizational structure of listed companies; analyze the distribution of rights in governance structure home and abroad and the evolution direction of enterprise's corporate governance structure; and also analyze the pattern of organizational structure and design methods; then explore the development direction in the future.Secondly, on the basis of analyzing the present situation of the organizational structure in Phoenix Paper Limited Company, the paper points out the existing problems.Thirdly, on the basis of analyzing the present situation of corporate governance structure, the changes in the structure of corporate governance after financing and management functions related the organizational structure in Phoenix Paper Limited Company, the paper points out the existing problems. After analyzing the existing problems, design the requested functional departments. In light of core process and management process, the paper designs relevant organizational structure and discusses the responsibility of key departments in the organizational structure. Fourthly, paint out the charts of Phoenix Paper Company's value chain and find out basic process and core process. By analyzing the core process and considering the requirements of going public, we design the relevant organization structure departments based on the pattern of processing.We hope that this thesis can provide some realistic suggestions to the governance structure and organizational structure of Phoenix Paper Company. And we wish that all advices and recommendations will be rectified and improved in real work process in the future.
