By the end of 2006, the transition period of five years after China's accession to the WTO had gone by. China's banking sector has been fully opening to the outside world, so state-owned commercial banks will face increasingly fierce market competition from foreign banks. Facing the competition, the sustainable competitiveness of the state-owned commercial banks comes from the deepening of the system reform and the improvement of corporate governance. Although the corporate governance of China's state-owned commercial banks has made big progress in recent years, there is still a gap from the advanced international banking standards. Therefore, how to further promote China's state-owned commercial banks to improve corporate governance, it becomes an important topic of regulators, the banking industry and academia.Against this background, this paper attempts to explore a reasonable path to perfect the corporate governance of China's state-owned commercial banks, and propose appropriate countermeasures. Therefore, on the basis of the general theory of the corporate governance of commercial banks and banking capital management, and with capital management as a logical clue, this paper constructs a unified analytical framework of perfecting the corporate governance of commercial banks. In this analytical framework, targeted at the existing drawbacks of the corporate governance of China's state-owned commercial banks, this paper is focused on the systematic analysis of the impact of three aspects of the capital management, namely regulatory capital management, book capital management and economic capital management, on the corporate governance of China's state-owned commercial banks. Through theoretical and logical analysis, this paper concluds that, in general, the capital management has a positive impact on external governance mechanism, internal governance structure and internal governance mechanism of the corporate governance of China's state-owned commercial banks, so as to provide a theoretical basis for improving the corporate governance of China's state-owned commercial banks based on capital management. Then this paper sums up the experience of the capital management in the typical international corporate governance models of commercial banks. Finnally, based on the perspective of the capital management and drawing on the advanced international experience, this paper puts forward some measures and recommendations to improve the corporate governance of China's state-owned commercial banks.
