Research On Improvement In Corporate Governance Structure Of State-owned Banks In China

Our country is the world biggest developing country; our country's economy development has great influence over the world economy. After these years economic system reform, our country has already established the market economy system, the financial industry is playing the very important role in the entire national economy, however, the financial industry reform actually obviously is lagging behind, along with the economic globalization, the rapid advancement of integration process as well as our country more opening to the outside world, China state-owned commercial bank will certainly have a series of deep transformations in the system, the mechanism, the management, establishing the perfect corporate governance of state-owned commercial bank is the most important question. After our country joining in WTO, the banking industry is placed completely under the international general supervision criterion, especially in 2006 banking industry in our country is completely opening to the outside world, the domestic bank is directly facing the financial institutions of the world developed country, therefore the situation is particularly stern, banking industry is the blood department of modern economy, speeding up banking industry's reform is imperative, the state-owned commercial bank is placed in the main body position in our country's banking industry, state-owned commercial bank's steady management has directly related in our country entire economy and financial industry. A reform on the state-owned commercial bank has the important meaning to the entire social economy development.The perfect corporate governance is the system safeguard to guarantee the commercial bank carries on the correct decision-making, to prevent to present the major decision fault; the reasonable corporate governance can transfer the enthusiasm of the administration and inform the effective restriction to the administration.In recent years, some international organization such as Organization for Economic Co-operation and Development and international Securities Supervisory Association organized initiate the standardized corporate governance; The Basel Committee also proposed the standard bank corporate governance principle. Standardizing the corporate governance already became global the common tendency. In our country, carrying on the comprehensive reform to the state-owned commercial bank, improvement state-owned commercial bank's corporate governance will enhance the state-owned commercial bank competitive power.This article proposes some innovative method to establish the scientific corporate governance of the state-owned commercial bank. This paper thinks that the property right question is the foundation of corporate governance, when we solve this essential foundational problem, the overseas successful experience such as Singapore's Temasek pattern can be studied, Temasek is the Singapore biggest state-owned company, which is like Central Huijin Company, Temasek is successful which can bring us some new method to improve our state-owned commercial bank's corporate governance. I use the theory about separation of powers to improve corporate governance of state-owned commercial bank in our country. This article also has researched on golden share which performs an important function in state-owned commercial bank's corporate governance.This article can be divided in five parts.The first chapter shows the concept of corporate governance has analyzed the theory of corporate governance and also introduces the corporate governance principle of Organization for Economic Co-operation and Development.The second chapter introduces UK-US modes and the German-Japanese modes about the corporate governance and then analyzes the good points and bad points about UK-US corporate governance modes and the German-Japanese corporate governance modes. Through comparison of two kinds of corporate governance modes this article propose our country state-owned commercial bank's corporate governance,The third chapter introduces the evolution process of China State-owned commercial bank's corporate governance and analyzes the different characteristic in different development periods.The fourth chapter proposes the whole structure of state-owned commercial bank's corporate governance. The fifth chapter is mainly the critical analysis, because the China ICBC recent localization is the state-owned joint stock system commercial bank, therefore through comparison of ICBC and Chinese joint stock system commercial bank's representative——China Merchants Bank we can give some suggestion about how to establish our state-owned commercial bank's corporate governance structure.This article has used the comparison analytic method, including the crosswise comparison and the longitudinal comparison, this article has also used the historical analytic method. This article has also used the case analytic method to compare the two kinds of corporate governance structure——ICBC and China Merchants Bank.
