Since the reform and opening up, our country's urban transportation and economy has made a rapid progress, urbanization process is developing steadily and the population in cities increases rapidly. The situation challenges the urban traffic. Under this condition, urban rail transit system will be primary solution to the traffic congestion. It's obvious that the traditional financing pattern mainly by government investment doesn't meet the needs of the development of urban rail transportation, consequently, multiplex and market financing patterns are the inevitable trend. So it becomes much meaningful both in reality and in theory to study on how to establish the reasonable urban rail transit investment and financing mode.First of all, This paper introduces the concept of urban transportation system and classification, bases on the public product theory in the domain of economics, and depictes economic feature, operation feature, investment and financing characteristics of the urban rail transit. Then, after three main investment and financing modes are analyzed in detail, the main factors and selection principle of the urban rail transit investment and financing modes are concluded in the paper, which points out the problems confronted by domestic urban rail transportation. Based on the analyses of the ongoing railway project in Nanjing and its capital requirements, this thesis comes out with a set of the financing and investing mode and method of returning, which is suit for Nanjing. At last, this article comes out with the conclusion that the most suitable investment and financing mode for Nanjing is the commercial project operation which, in detail, is the government shall act as the main investor and get other investments from other channels.
