With the rapid development of economy and maturity of stock market day after day in our country, agency problem between superintendent and owner of listed companies is becoming more and more prominent. In our country, most scholars mainly study on the restraint and motivation problems of top-management from the view of trust-agent theory, and they mainly pay attention to the salary design and motivation patterns of top-management while with little concentration on the performance evaluation of top-management. Performance evaluation of top-management is the basis of reasonable salary mode design as well as motivation pattern, which is the reason why we study this question.This paper firstly compares the difference between performance evaluation of top-management and enterprises, and defines performance evaluation of top-management is the evaluation of directors (owner) to top-management from the point of inner operation management; Then this paper summarizes the present research situation of top-management performance evaluation in and out of our country; and then we establish the performance evaluation index system of top-management according to individual nature, basic ability, post performance and business performance with the help the previous research results and consultant experts as well as business investigation, combining with the grade explanation; Finally, we establish the comprehensive performance evaluation model of top-management on the basis of this index system. This model makes use of analytic hierarchy process to optimize and endow weight of index system; it also designs a simple and feasible model to process performance evaluation of top-management, and shows the application of the evaluation result.This paper hopes to provide foundation for the design of salary plan and motivation mode through research of top-management performance evaluation in manufacture industries thus to solve the trust-agent problems effectively.
