Dunning's theory of Investment Development Path, this thesis picked out the china's data of the average GDP, national people number, numbers of FDI inflows and outflows and exchange rate of china yuan to dollar, which are between 1982 and 2004, in order to analyze the trend of china's FDI and the Granger's cause and effect relationship among the china's date of GDP, FDI inflows and outflows and also to establish a regressive model of china's net FDI.Secondly, the thesis analyzed the relative theories of FDI and brought forward five kinds of motive and four kinds of advantage about china's FDI. The kinds of motive are to substitute the export, to explore the market, to seek resources, to improve efficiency and to look after the strategy assets. The kinds of advantage are the ownership-specific advantage and internalization incentive advantage of some degree, the comparatively advantage of mature technology, traditional products and the advantage of manufacture in miniature. And also it point out that china's FDI practice should be supervised by the FDI theory of effective capital which is on basis of large country's economy.Finally, while analyzing the main bodies, industry and location of china's FDI, the thesis also analyzed the present situation and problems, and brought forward some standards and available tactics. The main body tactics have five tactics, which are main body conversion tactic, system conversion tactic, macro support tactic, gathering enterprise tactic and value-chain management tactic. The industrial tactics have five tactics, which are boundary industry transfer tactic, connected industry tactic, advanced industry tactic, guaranteed resource tactic and macro support tactic. The location tactics have three tactics, which are resource-seeking enterprise tactic, large company tactic, and moderate and small enterprise tactic.
