The article thoroughly analyses the problems exist in working ininstitution, working system, invest and finance system of Changshu municipal construction by investigating the status as well as basic situation of Changshu municipal construction investment and financing. The main problems are : (1)lack of capital for municipal construcion. (2)lack of govermantal administrative efficiency.(3)the unsure laws for investment and financing together with the simple invest and finance mode affect the financing strength of municipal construction.Use the successful experiences of internal and external cities in reform of invest and finance mode for reference, combine the actual situation of Changshu, the artical shows its opinions to the reform of Changshu municipal construction instituion and working system.That is, to separate the governmental department into parts of lawmaking, decision-making, investment, construction, administration, supervision and service, to gradually form a complexion that prople's congress to make and supervise the law, government to make and run the decision, corporation to invest and construct, the service is for competition.In the aspect of municipal construction invest and finance mode reform, the article suggests"to diversify the main investment body, to market the project management","to separate the decision-making, investment, construction,management"and"to decide the invest and finance mode according to the project market".It also puts forward optimized invest and finance system proposals for Changshu Municipal construction by combining the basic situation of Changshu city and analyses the problems and solutions when executing the proposals.In conclusion, the article investigated the invest and finance status of Changshu municipal construction,analysed the existing problems by following the steps of "doing research - finding problems - analysing problems - suggesting solutions then checking ", and found a way to systematically solve the problems from the point of view of institutional function reform, system optimize, market principal introduction, rule relaxation, competition advocate.
