Taking economic construction as the center is our basic national policy. The process of economic development will be accompanied by the rapid development of urbanization and industrialization, and a large number of rural collective land turns to be acquisition land by the state. In this historical background, compensation conflict and placement questions initiated by the land acquisition arouse the enormous interest.Since this article take has founded a nation our country to draft the system change as the research object, taking new Institutional Economics as analytical tools, we analyze the questions that the ex-wide scope in land acquisition, lower standard in compensation, flaw in land market, and waste of city land, on the basis of system stratification .Then we draw on the international experience and comprehensive basis of the various views, and put forward proposals to improve China's policy of land expropriation system. This article first determined the content of the land requisition system, and then discussed the land requisition system and changing the system constraint conditions and the causes. Finally we give policy proposal in order to realize peasants'land rights and share the results of urbanization.Comparing with the international experience, we may discover that, generally the system improvement would not involve the question of land ownership; but hold the content of property rights that influence economic efficiency of much account, and also is the stipulation which gives up rights about the extension. Therefore, the author suggested is clear about the land property right relay to give up rights the collective ownership. And establishes special ruling organization to solve draft the dispute, and inspect whether the procedure is legitimate or not.
