Chinese firms' overseas merger and acquisition (M & A) activities are booming in recent years. However, in the surge of M & A, with the initial motive to expand businesses in related industry, Chinese firms suffer unsatisfied consequences of M & A.Obviously, with the strategic orientation of overseas M & A and a long-run view on future development, Chinese firms pay extra attention to the strategic benefits resulting from M & A. Therefore, the integration plays a significant role in Chinese firms' overseas M & A. Also, retention and integration of human resource are viewed as the most important aspects in retaining key employees. In other words, without successful human resource integration, integration of the whole company will become impossible.This paper firstly reviews related domestic and foreign literatures on human resource capability protection and outlines the current state of human resource integration as well as future trend. Secondly, based on the expatiation and discussion on the features of Chinese firms overseas M & A, this paper analyzes the strengths and weaknesses of human resource integration from the perspectives of protection and improvement of human resource capability, as well as analyzes the causes of human resource shortage and decline from internal and external factors. According to the discussion and analysis above, the paper systematically brings forward the polices that protect and improve enterprises' human resource capability. Also, the paper includes the discussion on human resource integration by two parties which are involved with M & A, and points out that firms must construct intellectual exchange and share point where surpass national sensitivity with gradually cultural integration. And suggested to bring the HR Maturity Model to manage and improve the HR's capability. Finally, the paper illustrates above discussion on the polices of human resource capability protection and improvement and applies to the case of LENOVO acquiring IBM PC department.
