After China's admission to WTO in 2001, "The 4th Surge of Chinese enterprises' M&A" is taking place in China. As the overseas M&A of Chinese enterprises is becoming more and more, many key issues, such as how to elevate the success probability, etc. are significant to the development of Chinese enterprises and national economy of China. Through the case study of "TCL International's M&A with Thomson" and "Lenovo's acquisition of IBM PC business", it is found that integration in M&A, especially human resource integration, is the key to the success of Chinese enterprises' overseas M&A. In order to provide an effective guidance to the human resource integration practice of Chinese enterprises' overseas M&A, the dissertation studied from the practical case, and analyzed the successful points and deficiency of Chinese enterprises' overseas M&A. By referring to the "Five People" theory of oriental management and the research outcome up till now, the dissertation has conducted a framework of analyzing human resource integration of Chinese enterprises' overseas M&A.During the process of analysis, the dissertation followed the analysis method of deduction, abstraction, case study and synthesis. Besides, some research methods were used in the dissertation, such as conclusion and deduction, theory and case study, comparative analysis, qualitative and quantitative analysis, etc.In sum, chapter one first makes a summary on the existing human resource integration theory both at home and abroad, and puts forward the research thought, method and the innovative points of the paper. Chapter two makes an introduction on the current situation, prospect, reason and risk of Chinese enterprises' overseas M&A. Chapter three makes an analysis on the typical cases of Chinese enterprises' overseas M&A, and induces a conclusion that integration, especially human resource integration, is the key to the success or failure of Chinese enterprises' overseas M&A. In the end, integrated with the cases of Chinese enterprises' overseas M&A, and referred to the "Five People" theory of Oriental Management and the existing human resource integration theory both home and abroad, chapter four has conducted a framework of analyzing human resource integration of Chinese enterprises' overseas M&A.There are two points of theoretical achievement, first, the dissertation has filled in the theoretical blank of current Chinese enterprises' overseas M&A, constructed a clear theory analysis framework, and provided a clear thought of managers of Chinese enterprises, so as to benefit the human resource integration work of Chinese enterprises' overseas M&A, lower the risk of human resource integration of Chinese enterprises' overseas M&A. Second, the analysis of the dissertation is based on the "Five People" theory of Oriental Management, which has advanced the study of "Five People" theory and facilitated the extension and application of the thoughts of Oriental Management.
