The rapid development of economic globalization, economic system's reshape andsocial economy's development have brought a new economic form--private--ownedenterprise to china in which marketing economy has now been carried out. The private-owned enterprises has grown up and struggled a lot to play an important role in china's economy and socialism construction. Among the 3 million private—owned enterprises in current china, more than 90% of them are familial enterprises. During the further development process of the familial enterprises, the limited resource such as funds, technology, as well as the family members' poor ability to manage would all make the familial enterprises facing a dangerous situation to be superseded. As a result, making use of professional managers who are conversant with managing knowledge and experiences to manage the familial enterprises meets the need of the enterprise managing model of modern economy; it is also an inevitable choice for the enterprises. Professional managers have played an extremely important role in the development of the familial enterprises. Attracting, appointing,motivating professional managers to fully play their managing ability, making higher and higher value for the enterprises simply become the most important focus of the familial enterprises' development.Based on the analyses of the motivating problem to professional managers in current china, this paper has constructed a comprehensive motivational system which combined long term motivation with short term motivation, as well as material motivation with spiritual motivation. This paper manages to design an useful and appropriate professional manager's motivational system for the developing familial enterprises on the base of a real case. Combine enterprise's developing goal with professional managers' personal goal, creating a win—win situation for both the familial enterprises and professional managers.
