Since 1980s, along with the intense competition day by day, The multinational corporation's alliance and the cooperation tendency also strengthens, perform as the strategic alliance of the multinational corporation forms and develop rapidly. The consultant expert of McKinsey Joel Bleeke and David Ernst believe that to most of the world corporations, the age of damage to oneself has ended; the traditional model can't ensure the corporation to own the lowest cost, the best product and the highest profit. R&D strategic alliance is developed with the development of MNCs' strategic alliances, and is one of the most important types and manifestations.This paper is divided into five parts, the first part gives the internationalization of R&D a brief analysis, contains main performance and characteristic of R&D internationalization, the cause of it.The second part explores the nature of MNCs' strategic alliances, make theoretical explanation for it, use the MNC theory (including strategic gap theory, The new system economics theory, the value chain theory, knowledge and organizational learning theory, resource basement theory, cooperation game theory and so on) to explain the phenomenon of MNCs' strategic alliance, give it a theatrical explanation. In the third section compares it with other two organization form.The third part is the empirical research for the engine mechanisms and efforts. The author explain the motivation of MNCs' R&D strategic alliances from the multinational corporations their own development strategies, technological innovation and public policy.
