Since 1990s, as the globalization going increasingly deeper, FDI has become a major driving force pushing forward world economy. Utilizing FDI to streamline production elements and resources has become a major way to foster international competitive edge for each country. Adjustment and upgrade of industrial structure is an vital issue for macro economic development, which may improve the overall efficiency and earning for national economy. Under an open economic setting, the adjustment of industrial structure can be achieved by flow and transfer of international resources and elements. China's entry to WTO in 2001 indicates China has been irreversibly integrated into the trend of globalization. As China's industrial competitiveness getting increasingly stronger, FDI will definitely become a new growth point of China's economy, and it will play an increasingly important role in domestic economy and serve as a way to drive forward the upgrade of industrial structure. Therefore, how to seize the opportunity to improve China's industrial structure by means of FDI is an issue worth further discussion.The thesis systematically studies FDI's influence to China's industrial structure from theoretical and empirical perspectives. Initially, the thesis elaborates on theories of FDI and adjustment of industrial structure both at home and abroad, it analyzes the FDI's effect to the adjustment of industrial structure. Then, the thesis studies FDI's influence on China's industrial structure adjustment and their relationship from the aspects of adjustment effect and optimization effect. The study shows that, firstly, China's FDI amount changes equally as the rate of primary, secondary and tertiary industries to the total does; secondly, it shows that the rationality of industrial structure adjusts as China's FDI grows; thirdly, China's progress of industrial structure lags far behind FDI's growth rate; lastly, based on above empirical study, the thesis proposes strategy and channel for China's FDI, which will be helpful to the optimization of China's industrial structure on the basis of economic development of China.
