Research On The Evaluation Of Corporation Governance Based On Core Competence Theory

The core competence theory and the corporate governance theory are the current hot topic in the academia and business community, but the research of corporate governance and enterprise core competence are often carried out separately from the current literature . As the core of the modern enterprise system,the perfect corporate governance is not only an important framework for the modern enterprise system, but also an necessary conditions to enhance the core competence. Moreover, the purpose.of enhance core abilities is to improve the corporate governance mechanism.In this paper, author discusses how to improve the corporate governance mechanism based on the core competence theory,and makes evaluations on corporate governance by AHP model and unascertained mathematics comprehensive evaluation method.First, combing with the present situation of study in the domestic and foreign research, basic theories that used in the article are listed, including the theory of core competence of corporation,and the theory of corporate governance theory. Next, the problem of how to improve corporate governance from the view of core competence are carried on. It is separately elaborated from the corporate governance mechanisms of the United States, Japan and Germany. Then the indicator system of the evaluation on the corporate governance are constructed, the structure and operation of the board, the structure and operation of the supervisors, the general meeting of shareholders and shareholding structure and incentives and constraints of the core layers are included. Based on the indicator system, evaluation of the corporate governance is obtained. Finally, the article shows how to improve the core competence and corporate governance on the base of an example, which enables the enterprise to hold competitive advantage in the market competition.
