Economist George J. Stigler once pointed out, it was a prominent phenomenon in modern economic history that enterprises became huge corporations through Merger and Acquisition (M&A). Recent years, the global enterprises' merger and acquisition activities are experiencing unprecedented growth, July 29th 2004, after TCL merged and acquired Thomson, the new TCL —Thomson Electron Ltd. began to operate, its equity is over 400 million Eurodollar, its offtake potential is the first in the world. December 8th, Lenovo Group annexed the global Personal Computer business of IBM, so it becomes the third producer of PC and enters Global 500 Companies. Multinational merger and acquisition has been one of activity manners of enterprises operating and developing. However, the completion of merger and acquisition business doesn't stand for the success of multinational merger and acquisition. The general failure rate of recent years has clearly descended, but it still wanders 50% back and forth. And in the reasons of leading failure, human resource conformity is the first important reason. So how to insure the success of human resource conformity become s the key factor of insuring the success of enterprise's multinational merger and acquisition.Human resource conformity in enterprise's enterprises' multinational merger and acquisition actually means generally arranging the troop of human resource, improving and exploiting the whole ability of the troop of human resource, in order to increase the general earning power and reduce the impacts caused by uncertainty factors in the merger and acquisition course, and it also emphasizes the construction of human resource's group spirit. Because of the difficulty of acquiring the merger study datum and posterity, most of the existing multinational merger and acquisition studies are case analysis studies surrounding merger and acquisition skill and capital operation, are lack of conformity study, especially the special study on human resource conformity, and these studies are also lack of systematism and pertinency, so to further study on this question has actual meaning.This article concludes at present enterprises' multinational merger and acquisition has greater and greater impact on human resource, human resource conformity has been the most dangerous conformity, and after multinational merger and acquisition human capital need to be newly arranged and composed, so human resource conformity has been one of the most important conditions that insure merger and acquisition execution. At the same time the article points out that many questions exist in the course of multinational merger and acquisition, these questions include: the difficulty of human resource conformity is high;the important talents of host country's enterprises seriously leave;rebuilding employee's expectation in conformity is very hard and so on.After further analyzing on the questions of human resource conformity, the article designs the structure of human resource conformity. In the structure, it points out the goal of human resource conformity is leading members in merger and acquisition organizations to close the same direction, the firm team who voluntarily joined together for the same target, and the sever rules such as smoothly transition, people oriented rule and so on. It points out human resource conformity should experience three stages including the pro—merger and acquisition work, quick conformity, fully fusion, and concludes the main tasks of every stage. Finally it come up with the strategies that solve the human resource conformity questions in the course of merging and acquiring, these mainly include four strategies: cross—culture conformity, building the new psychological contract, the active communication strategy, and the management of conflict that is caused by the both merging companies. In order to find out the achievement and the existing questions of human resource management of the M&A enterprises after conforming, and to form the good circulation of human resource, the article finally introduces the human resource conformity's performance evaluation of multinational merger and acquisition enterprises.
