This research lists, integrates, sorts out and compares the special phenomenon of prestigious schools founding private schools in China from formation to development, scrutinizes the main controversial problems of social public at present with all new angle of view, tries to come to a general conclusion of advantages and disadvantages through principle of law and logic thinking.Firstly ,this thesis give an introduction of relevant issues in the process of prestigious schools founding private schools, including the definitions of prestigious schools and private schools, and the definition of "prestigious schools found private schools ." On this basis, it makes a comparison between the private schools founded by prestigious schools and public schools. On the basis of some theories: Educational Private Mechanisms, Educational Fairness and Industrialization of Education, it discusses the significance of prestigious schools founding private schools from different perspectives of the whole country, the private schools and parents respectively, and points out that the disputes about prestigious schools founding private schools by social public are embodied in two aspects, namely, whether private schools founded by prestigious schools is feasible by law and private schools founded by prestigious schools are more advantages than disadvantages in the end.In the second and third part of this thesis, it selects the cases of private school transforming system successfully founded by famous schools, Suzhou Lida case of failure of schools and 12 private senior high schools in Taizhou, and tries to find out clearly the problems and difficulties from their comparative analysis, and sums up the successful experiences to reflect on the lessons of failure.In the last part, combining with the case analysis and relevant theories, the author analyses the difficulties which private schools founded by prestigious schools from three sides: macroscopic policies, the relations of prestigious schools and private schools, the problems of private schools; and gives measures and suggestions of transformation system by private schools from various angles: the law, the determination of the systems and the internal management of schools .
