The 21st century is knowledge economy era, the era of talent. With economic development, society has been from the "industrial economy" into the "knowledge economy era." Economists have generally recognized that human capital is a great potential for capital value added in the national economic and political life, the value and importance of physical capital is a steady decline, knowledge, technology and other spiritual forces are more than physical capital in all aspects force of the rise. Human capital for wealth creation in the enterprise's position, making it a more scarce economic resources, especially in the general labor supply in developing countries relative to the full. Since human capital is not given sufficient attention, their lack of physical capital, science and technology is not being fully utilized, and even the destruction and waste, which has become the bottleneck restricting China's economic development. Meanwhile, although China has established "equity incentive", but the source of the problem of equity, the practical application of this system has been limited in practice, lack of human capital of the legal system is established, it can not honor the worker's personal and public, the fate of the Secretary close contact with the subjective workers can not be effectively mobilized the enthusiasm that the benefits of human capital can not play the extreme, the company capital appreciation is limited.The so-called human capital, is the condensation in the management of personnel, technical personnel and other personnel body of knowledge, skills, abilities, experience and strength combined. The main purpose of this paper is to explore China's "Law" into the feasibility of human capital investment system, and some specific system design, and strive to build our human capital investment system. First, make the meaning and characteristics of human capital; Second, analyze the legitimacy of human capital investment; Third, analysis of human capital investment of eligibility; Fourth, analysis of human capital investment on the other stakeholders of the controllable , so as to human capital investment on the interests of creditors and interests of the company and other shareholders of the controllability analysis perspective. Full-depth analysis of human capital to enter and exit the company in all aspects of potential risks, the creation of appropriate measures to prevent and mitigate risks, in order to build a sound system of human capital investment, human capital investment play a huge function in practice.
