Increasingly severe environmental problems seriously hampered economic and social development. It is threatening our human existence and development. Environmental problems is a complex problem. It is in close relation to production and life style. Company as a major participant in the main social activities, especially those in manufacturing companies, on the one hand, obtain resources for production directly or indirectly from the environment, on the other hand, discharge waste to the environment resulting from the production. So the formation of environmental issues has blamed the responsibility of the company. With the company's development and growth in recent years, its influence has penetrated into the economic, political, cultural and other social fields. The company's status and role means that it can not just maximize profit for shareholders as its sole purpose for existence. It must also bear the corresponding environmental responsibility.Since the 1930s, due to frequent environmental pollution, environmental protection movement began to rise worldwide. Society began to pay more attention to the company's environmental responsibility. The international community urgently need to take some action together to address these issues. Under the wave of environmental protection, unprecedented expansion of the company's environmental responsibility has become a major comprehensive research in the field. Developed countries strengthen the relevant domestic legislation. In particular, the United States, Britain, Germany, Japan, have provided the system on the company's environmental responsibility. The company's environmental responsibility is materialization and legalization. Environmental protection and environmental management were incorporated into business decision-making. Companies seek self-development and socio-economic objectives of sustainable development consistent. Environment was greatly improved. But in China, with the new "Company Law" enacted, the system on the company's environmental responsibility was written into law. This is a big improvement, but there still are many imperfections. Now, China has clearly put forward to implement the scientific concept of development, build a harmonious society. The company's environmental responsibility has become a new topic that urgent need to study.This article research the company's environmental responsibility from the point of the environment and resources protection Law. In this article the company's environmental responsibility is essentially a narrow environmental responsibility. It mainly refers to the company's environmental responsibility. Therefore, firstly in the "primary legal obligations", the company's environmental responsibility mainly refer to when a company seeks to maximize profits for shareholder, it must protect the environment and the rational use of resource. And such obligations do not disappear once the termination of the company.Then I analyze the status of our company's environmental responsibility and its causes. Finally, form the advanced experience of foreign countries, I put forward my suggestion on how to improve corporate environmental responsibility to our own views.
