| As the leading force in China’s economic development,local state-owned enterprises are an important component of local economic development.With the deepening of the three-year reform of state-owned enterprises,local state-owned enterprises have begun to explore more mature modern corporate governance through promoting shareholding reform,institutional improvement,risk management,and other methods,in order to achieve the transformation of local state-owned enterprises from corporate governance to corporate governance,accelerate the formation of more effective governance mechanisms and more flexible market-oriented management mechanisms,thereby comprehensively improving the operational efficiency of enterprises and enhancing their comprehensive competitiveness,To achieve the long-term development goals of enterprises and promote the healthy and orderly development of local state-owned enterprises.This article takes Chengdu CT Company as an example,based on reviewing relevant literature on local state-owned company governance at home and abroad,and based on the relevant requirements and specific realities of the reform and development of local state-owned enterprises,first of all,through questionnaire surveys,interview surveys,data access,and other methods,accurately understand and grasp the governance status of Chengdu CT Company,and conduct in-depth analysis and research.Secondly,from five aspects: corporate governance system,incentive and constraint mechanism,risk management and internal control mechanism,information disclosure mechanism,and social responsibility fulfillment,this paper conducts an in-depth analysis of the issues arising in the governance process of Chengdu CT Company;The reasons for the problems are analyzed from four aspects: governance structure,ideological awareness,team building,and system building;Finally,aiming at the problems existing in the governance process of Chengdu CT Company,this paper proposes countermeasures for improvement and optimization.Through research,it is found that Chengdu CT Company has achieved good results in recent years,and the overall development trend is improving.However,in terms of governance,there are still outstanding issues such as the absence of owners,insufficient decision-making and supervision forces,imperfect incentive mechanisms,and weak awareness of risk management and control.The main reasons for this are the lack of awareness of corporate governance among senior management personnel,the single ownership structure of the company,weaknesses in team building,and inadequate management systems.In response to the problems existing in Chengdu CT Company,five optimization plans have been proposed,including optimizing the equity structure,improving the internal governance system,enhancing incentives and disciplinary rigid constraints,strengthening internal control management,improving risk prevention capabilities,and improving the information disclosure mechanism,to further improve corporate governance,help Chengdu CT Company break through the bottlenecks encountered in its own reform and development process,and enhance its market competitiveness.At the same time,it also provides reference for similar enterprises to optimize management,reform and development. |
