In order to promote the faster completion of China’s health construction, the 20 th National Congress of the Communist Party of China has decided to incorporate the protection of people’s health into the strategy and prioritize development. With the improvement of China’s per capita economic income level, the demand for healthcare continues to rise, which will greatly promote the development of Chinese pharmaceutical companies. The pharmaceutical and biological industry has been listed as an industry strongly supported by the state, and in the process of restructuring and mergers among numerous listed companies,non-standard events often occur.Betting is a widely adopted trading method by Chinese listed companies to address the issues of insufficient trust and low efficiency among trading parties caused by information asymmetry in mergers and acquisitions transactions. However, during the implementation phase of the commitment, many problems have arisen, which have had a negative impact on the company’s interests and hindered the normal development of the market. Therefore,it is particularly urgent to conduct in-depth performance research on the impact of gambling behavior on the company.Watson Biotechnology is a high-tech biopharmaceutical company that focuses on producing biological vaccines. It was once a "white horse stock" in the vaccine industry, but fell victim to the gambling innovation case. Therefore, this article takes Watson Biotechnology as an example to systematically explore the impact of Watson Biotechnology’s gambling behavior on corporate performance.Firstly, based on the financial statement data disclosed by Watson Biotechnology in recent years, financial indicators are used to evaluate the company’s performance;Secondly, factor analysis is used to analyze the performance evaluation direction from both industry horizontal and enterprise vertical perspectives. In the industry horizontal analysis,15 companies in the biopharmaceutical industry are selected as samples to establish an indicator evaluation system. In the enterprise vertical analysis, the scores and rankings of each ability factor are obtained, and the reasons for gambling failure are analyzed. The analysis results indicate that although gambling behavior has a positive impact on Watson Bio’s shortterm financial performance,it has a negative impact on its solvency and operational ability in long-term financial performance. Finally, this article also proposes measures at the company level that can improve the company’s financial situation by setting reasonable gambling agreements and optimizing resource allocation,in order to provide some reference for listed companies that initiate gambling behavior in future restructuring and merger activities.
