In recent years,with the deepening of the reform of state-owned enterprises,state-owned railway transportation enterprises are facing increasingly fierce market competition.For a long time,there have been contradictions among railway enterprises that connect the upstream and downstream industries.The locomotives,equipment and manpower between railway enterprises cannot be exchanged and used,which makes the resources unable to be fully utilized or even repeated investment.At the same time,there is vicious competition between railway transportation enterprises in the radiation area of the same railway source,and the resources are obtained by reducing the freight rate,the internal consumption is serious.Therefore,in order to improve the railway transportation capacity,alleviate the vicious competition within the industry,and promote the healthy,stable and sustainable development of the railway industry,railway enterprises have begun to deepen the reform work.This thesis studies the merger and reorganization case of two railway companies under the National Energy Group,and the topic selection has important guiding significance.In the context of the deepening of the reform of state-owned enterprises in my country,this thesis takes the case of the merger and reorganization of Baoshen Railway Company and Shenshuo Railway Company as the research object,and combines the research results of domestic and foreign scholars on the motivation and performance of merger and reorganization,and uses the method of case analysis.describe the background and process of the merger of the two companies,introduce the changes in the organizational structure and enterprise management before and after the merger,and study the performance after the merger from the four levels of finance,customers,internal operations,learning and growth,using the entropy method,combined with the performance comparison before and after the merger,to evaluate the overall performance and sub-performance of the merger and reorganization.This thesis draws the following conclusions: From the perspective of merger motivation,the main motivation for merger and reorganization is a part of the country’s overall strategic plan,and it is the forerunner to implement the reform and development of state-owned enterprises.Through merger and reorganization,the strategic layout of the railway sector can be optimized,the coal transportation channel in my country can be opened up,and the National Energy Group can become a large-scale enterprise with international competitiveness;from the analysis of specific events,it is the choice made by the enterprise for its own development.After the specific business reorganization,it can achieve synergy effect,better play its strengths,avoid vicious competition,realize the improvement of quality and efficiency of the enterprise,thereby increasing the income of the enterprise;from the perspective of combined performance,by using the four dimensions of the balanced scorecard After the merger and reorganization of Baoshen Railway Company,it is concluded that the comprehensive performance,profitability,customer ability and learning ability of Baoshen Railway Company have increased significantly,indicating that the merger and reorganization work has been successfully completed;however,the enterprise after the merger and reorganization still has assets Issues such as insufficient utilization,lack of demand satisfaction,high accident rates,and rising employee turnover need to be addressed.
