At present,in the process of enterprise development in China,the group development of enterprises has become highlight of China’s new economic growth,and the leading role of state-owned enterprises in the local economic development is increasingly prominent,which is one of the core competitiveness of various cities and even countries.However,in the development of enterprise collectivization,how to strengthen the collectivization management and control,improve the management efficiency,and give full play to the value advantages of the group has become the key link in the development.Group management and control is to ensure that the group achieves the established strategy through the management and control of subordinate companies.Only by clarifying the group management and control mode can we give full play to the synergistic advantages of the group and maximize the integration of the parent and subsidiary companies Source,effectively improve the group’s overall management efficiency and operation level.The dissertation takes ZZ Investment Group as the research object,mainly studying the group’s control mode.It uses internal control theory and four method group control mode theory of ZZ Investment Group control mode.Through interviews,literature research and other methods,it analyzes the current situation of the management and control mode of the group.Through research,it is found that the group control mode group headquarters function orientation not clear,lack of control mode selection rules,centralized decentralization mechanism,corporate governance structure is not sound,and analyze the main reason is the organization structure and department responsibilities,the system is unscientific,the system process is not perfect,the assessment and incentive is not in place,and the information management degree is low.At the same time,according to the control mode optimization objectives and principles,this dissertation constructs a differentiated management and control model through the method of "analysis,evaluation,and classified management and control",clearly divides the management and control authority and responsibility interfaces of different management and control models,improves the corporate governance structure,and forms optimization strategies that are consistent with the actual management and control situation of the group at present and in the future.Measures have been proposed to optimize the organizational structure of the group,improve departmental functional responsibilities and institutional process construction,strengthen assessment and incentive,and information construction to ensure the optimal implementation of the management and control model,continuously promote the healthy development of various industries of the group,enhance core competitiveness,and stimulate the enthusiasm of ZZ Investment Group to become bigger and stronger.This study has certain reference value for similar group companies in group management and control work. |
