| "The country is based on the people,the people depend on food",the food industry is the pillar industry to ensure the prosperity of the country and the people live and work in peace and contentment,and is closely related to the daily life of the people,so the food industry is the eternal sunrise industry.With the steady development of Chinese economy,the improvement of people’s living standards,the acceleration of population aging and other multiple factors,people’s living habits and consumption concepts have changed significantly.Coupled with the rapid development of the Internet,traditional food manufacturing enterprises are almost all in urgent need of transformation and upgrading,and the traditional offline food retail industry is facing a large contraction.It is urgent to develop online shopping channels and expand the scale of enterprise sales.In this context,Black Sesame,a traditional food manufacturing enterprise focusing on offline sales,chooses to improve its industrial chain through the acquisition of ecommerce enterprise Li Duoduo to increase its overall performance.Based on the review of relevant literature,this paper conducts a performance evaluation study on the case of Li Duoduo’s merger with Black Sesame,a traditional food manufacturing enterprise.First,it introduces the general situation of Black Sesame and Li Duoduo before the merger,the merger process and transaction mode,etc.Then,based on the perspective of balanced scorecard,The performance changes of four dimensions of enterprise finance,customer,internal process,learning and growth before and after the merger are compared and analyzed,which is helpful to achieve a balance between financial and non-financial indicators,qualitative and quantitative analysis.Combining with the entropy method,the comprehensive score can be used to comprehensively and objectively understand the impact of the merger on the performance of Black Sesame.Finally,the author puts forward corresponding countermeasures and suggestions on the problems found in the analysis process,and provides some reference opinions for other food manufacturing enterprises that want to expand sales channels through M&A.In the analysis of the four dimensions of the balanced scorecard and the results of the entropy method,it is found that the positive impact of M&A on the overall performance of black sesame has not been effectively maintained.The analysis results of most indicators show that the positive impact of M&A on the performance is temporary and then shows a downward trend.Only a small number of indicators show optimistic analysis results.For example,the merger and acquisition increased the operating revenue of Black Sesame,among which the revenue of e-commerce business increased significantly,realized the diversified business development of the enterprise,improved the operating status of the enterprise to a certain extent,and reduced the rate of sales expense and management expense.Generally speaking,the resource integration work after the merger of Black Sesame still needs to take a series of positive measures to promote. |
