Research On The Performance Of The Board Of Supervisors Of Chinese Companies

In line with the stage of high-quality development of China’s economy and society,the Company Law increasingly values the value of internal supervision mechanisms in corporate governance.As the statutory internal supervision body of Chinese companies,the Supervisory Board is of great significance in correcting illegal and irregular behaviors,safeguarding the interests of shareholders and creditors,and optimizing the business environment.However,in the actual performance of duties,the Supervisory Board of Chinese companies has inadequate powers The lack of independence of the supervisory board,the lack of ability and motivation to perform their duties,and other issues.In response to the above issues,the paper analyzes the current situation,existing problems,and causes of the performance of the supervisory board system in Chinese companies based on the relevant legal norms of the Company Law;Analyzing and drawing on the corporate governance structure and supervisory board authority protection mechanism in the German Company Law,the supervisory board independence protection system in the Japanese Company Law,and the selection and accountability system of independent directors in the United States,this paper proposes improvement suggestions to help the supervisory board overcome its performance difficulties from the perspectives of corporate governance philosophy,supervisory board authority and its exercise methods,supervisory board independence,supervisory board performance ability and motivation,And evaluate and analyze the provisions of China’s Company Law(Revised Draft)regarding the system of company supervisory boards.
