| Corporate compliance means that in the process of production and operation,the behavior of the company and its employees shall comply with relevant laws and regulations,regulatory policies,industry standards,the company’s articles of association and even internationally accepted treaties and principles.In the context of the rule of law,the corporate environmental compliance discussed in this paper tries to bring corporate environmental governance into the track of national rule of law,promote the sinicization of environmental compliance theory,and integrate it into the framework of ruling the country by law and governing enterprises by law.In March 2021,the 14 th Five-Year Plan proposed to improve the modern environmental governance system and strengthen the construction of enterprise environmental governance responsibility system,posing new challenges to the legal and compliance level of environmental management of Chinese enterprises.Similarly,the State-owned Assets Supervision and Administration Commission(SASAC)put forward the goal of building a modern enterprise system with Chinese characteristics as early as 2020 at the three-year Action Plan meeting on soe reform,requiring soes to improve their compliance management capabilities,and environmental protection has also been listed as a key area of compliance management.In this era,state-owned enterprises should improve their own environmental compliance system,which is not only to safeguard ecological security and respond to the call of the overall national security concept,but also to improve their own sustainable development capacity and enhance the competitiveness of overseas operations.This paper takes C Group,a state-owned enterprise in the field of energy,as the main research object.After understanding the basic situation of its production and operation through questionnaires,interviews and field visits,the construction of its environmental compliance system is gradually analyzed.In accordance with the organizational logic of Compliance Management Guidelines for Central Enterprises(Trial),this paper investigated the system framework,risk patterns,operation mechanism and guarantee mechanism of C Group’s environmental compliance system construction.The investigation results show that C Group’s compliance organizational structure is complete,environmental compliance related system documents are relatively comprehensive,legal compliance risk database has a basic framework,compliance work of business departments and compliance departments is satisfactory,which can meet the basic requirements of the company’s environmental compliance.However,compared with the existing environmental compliance laws,regulations and policy documents,there are still some legal problems in the construction of C Group’s environmental compliance system.Specifically,the compliance management system does not implement the principle of comprehensive coverage stipulated in the Guidelines;Environmental law compliance risk database is only a form,the content is lacking;The environmental compliance supervision system does not highlight the characteristics of auditing and pays little attention to the external supervision mechanism.In the process of analyzing the problems,we strive to raise the individual problems to common problems,so as to sound the alarm for the subsequent improvement of the environmental compliance system of state-owned enterprises.In view of the above problems,this paper systematically combs the existing environmental compliance standards,follows the guidelines,and puts forward some optimization suggestions: implement the principle of comprehensive coverage,formulate special environmental compliance plans,and strengthen the environmental compliance control of grass-roots units;Continue to follow up environmental protection laws and regulations,add a large number of legal risks into the database,to achieve scientific management;Combined with the revision of the Audit Law,reshape the enterprise environmental compliance audit system;We will cooperate with intra-party supervision,judicial supervision,audit supervision and public supervision to expand the scope of environmental compliance supervision of State-Owned enterprises. |
