With the development of the times,the survival of enterprises is more and more inseparable from a good corporate governance mechanism.However,due to the separation of ownership and management rights,the cost of corporate governance remains high and internal control problems are obvious.Many countries began to find a good way to solve the internal governance problems,retain core talents,equity incentive policy came into being.Equity incentive policy,as an important means of adjusting the two rights separation problems,by acquiring stakes in companies,in the form of giving the rights of the company operators and managers must allow them to stand on the position of shareholders in the company's operation and management,and share the benefits and risks for the company,so that on the one hand,can effectively alleviate the problem of two rights separation,on the other hand also motivates managers for the development of our company play a greater value.According to the statistics of CSMAR database,the number of software companies in China is increasing year by year,and the situation that they are in the stage of rapid development makes more and more software companies pay attention to the cultivation of core technical talents,and actively explore and try the policy of equity incentive.In this paper,CT software company is selected as the research object,and the specific contents of its four equity incentive schemes are sorted out,the specific factors in the schemes are analyzed,and the shortcomings of the scheme design are found.At the same time,through the event study method,method of financial analysis and non-financial analysis of CT software company equity incentive effect is analyzed,through price as well as the calculation of excess returns and accumulated excess returns to observe the reaction of the capital market,through long-term financial index lookup indexes of abnormal fluctuations and lead to the specific cause of the failure of the equity incentive to unlock,through the analysis of non-financial indicators of the company's human resources situation and the company's innovation ability.Through the analysis of CT software company's equity incentive plan and its implementation effect,it is found that the implementation of equity incentive has played a positive role in promoting the development of the company.At the same time,in view of the design and implementation of the existing problems,this paper also put forward targeted improvement suggestions.It is hoped that the relevant research on equity incentive of CT software company can bring reference and reference for the reform and implementation of equity incentive plan of more software companies.
