Equity incentive is a commonly used corporate governance method.Equity incentive policy is designed to enable employees to form a community of interests with the company,so that employees can generate a sense of ownership,and give employees the benefits of shareholders with additional conditions,and ultimately promote the company and employees to develop together,the company can achieve long-term stable development aims.Non-listed companies occupy a dominant position in Chinese enterprises.This study mainly refers to China's non-listed private enterprises.For non-listed companies,they have the advantage of maintaining the flexibility of incentives,and can play a huge role in raising funds and attracting talents from non-listed companies.More and more companies have begun to try to use the equity incentive system to solve the company's development.Dilemma.However,at present,the use of equity incentive policies in China's non-listed companies has the following problems: First,most of them copy the popular incentive model in the world.Second,the intensity of equity incentives is generally small.Third,the performance appraisal system supported by equity incentives is relatively simple.Due to the late development of equity incentive policies in China,the regulation of equity incentives for non-listed companies is relatively small.This provides flexibility for non-listed companies to formulate equity incentive schemes,and also enables non-listed companies to implement equity incentives.Take on more risks.As for the factors influencing the effect of the equity incentive system,there are some opinions that some financial indicators of the company have a certain degree of influence on the implementation of the equity incentive system.Some people also believe that the equity incentive system itself has an impact on its implementation in the process of formulating the plan.Sex.As a typical representative of non-listed companies,HW Company's equity incentive system has played a role in promoting the development of the company in different development periods.Its experience of using equity incentives is worth learning and learning from other non-listed companies.This paper analyzes the case of HW company's equity incentives,and conducts general analysis from the financial characteristics and possible dilemmas of different development periods.It is of great practical significance to summarize the experience of non-listed companies in obtaining equity incentives and reduce risks.The paper first expounds the research background and significance,and summarizes relevant literature at home and abroad.Explain the research content,framework,research methods and innovations of this paper.Secondly,starting from the basic concept of equity incentives,this paper outlines the basic theory of equity incentives and analyzes the influencing factors of the implementation of equity incentives.By combining the characteristics of the four stages of different development periods,it summarizes and analyzes the characteristics of enterprises at different stages.The dilemma faced,combined with the relevant content of equity incentives,began to study the issues related to the use of equity incentive systems in different development periods of non-listed companies.Thirdly,HW company adopting equity incentive system is used as a case study object to study the background of its equity incentive implementation and the content of equity incentive plan in different periods.Based on this,the HW company's relevant financial indicators are analyzed to obtain equity.The relationship between the implementation of incentive policies and the development of the company,and summarizes the experience of the implementation of HW company equity incentive system.Finally,through the case study,the conclusions are drawn and some inspirations from the non-listed companies in China to implement the equity incentives are obtained.
